NYE COUNTY REPUBLICAN CENTRAL COMMITTEEBY-LAWS ARTICLE I: NAME
Section 1 The name of the organizations shall be the NYE COUNTY REPUBLICAN CENTRAL COMMITTEE, hereinafter referred to as the NCRCC.
Section 2 Non-Profit Status: The NCRCC shall be a non-profit organization.
ARTICLE II: PURPOSE Section 1 The general purpose of the organization shall be:
A. To promote sound, honest and progressive government at all levels. B. To preserve and protect the dignity, rights, and liberties of the individual. C. To encourage the citizenry to maintain their constitutional liberties and freedoms by not allowing any level of government to do those things for the people that they can do as well, individually or collectively, for themselves. D. To uphold the Constitution of the United States of America and of the State of Nevada E. To foster loyalty to the Republican Party and promote the Party’s ideals. Section 2 The more specific objectives of this organization shall be:
A. To provide leadership for and manage the affairs of the Republican Party in Nye County, Nevada. B. To elect Republican Party candidates at all levels of government by:
1. Building and maintaining an active party organization; 2. Recruiting and supporting strong, qualified candidates; 3. Raising adequate funds, and 4. Maintaining solid precinct organizations to assist in registration drives, helping candidates and getting out the vote.
C. To support Republicans in office. D. To inform Republican Party members and the general electorate on Republican philosophy, issues, candidates and office holders, through political education and activities. E. To promote and encourage participation by all Republicans in party activities. F. To formally advise representatives at all levels of government of the NCRCC position regarding all proposed legislation or political action relevant to Article II(1) herein.
Section 3 Endorsements
A. Endorsement of Candidates. The NCRCC may only make a pre-primary endorsement of Republican Candidates who are unopposed in the primary election after the filing date and who pass a credential check, at the descretion of the chairman. Credential check criteria shall be developed by the Executive committee. B. In Non-Partisan races, when there are more than one Republican running for the same office in the primary and/or general election, no endorsements will be made by the NCRCC C. The NCRCC may endorse recall, initiative, and referendum petitions or recall ballot candidates.
Section 4. The primary function of the NCRCC and Executive Committee is to support all Republicans during a Primary Election and the General Election and do their best to have Republicans elected to office. It is not the function of the Central Committee nor the Executive Committee to run candidates campaigns. It is the responsibility of the Candidates to keep the Chairman up to date on all functions being held on a Candidates behalf. ARTICLE III: MEMBERS
Section 1 Voting Members
A. To be eligible for membership in the NCRCC, a person must be a registered Republican voter in Nye County, Nevada and must believe in the principles of the Republican Party, intend generally to support its candidates, and must physically reside within and be a qualified registered Republican voter therein, the precinct said person would represent. B. Members are elected by the county convention, the number being determined by the convention, but each voting precinct, entitled to one (1) or more delegates in the convention, is entitled to have at least one (1) committeeperson, and no precinct may have more committeepersons than its authorized number of delegates to the county convention. C. Members of the NCRCC, having been elected at the Nye County Republican Convention, shall serve for a period of two (2) years and/or until their successors have been elected. D. Each member shall keep the Secretary advised of their correct address and telephone number. It shall be each member’s responsibility to be familiar with these By-Laws.
Section 2 Resignation, Removal and Replacement of Members
A. In the event of resignation, inability to serve or failure to appear unexcused in person at three (3) consecutive, duly-called meetings, the Executive Committee must consider, after written notification from the Chairperson and/or either Vice-Chairperson, removal of said person from membership on the NCRCC for non-attendance. The Executive Committee shall present their recommendation at the next regular meeting of the NCRCC, at which time the Central Committee shall take appropriate action. B. Membership vacancies may be filled between county conventions by the NCRCC approving the appointment of a qualified Republican elector from the precinct in which the vacancy exists. To be appointed to fill a vacancy in the NCRCC, a person MUST physically reside within the precinct said person is to represent and be a qualified registered Republican voter therein. Said person will serve until the next county convention and/or until their successor has been elected. C. Any member of the NCRCC whose registration is canceled by the Nye County Registrar of Voters, except for a change of name, is considered to have forfeited his/her membership on the NCRCC and the Chairperson shall declare the seat vacant. D. The Chair has the authorityto recommend the suspension of a member to the Executive Committee. E. Members of the NCRCC shall not lose their membership because of changes in the numbers of registered voters in their precinct, changes or modifications to the precinct boundaries or abolition of their precinct by the County Registrar of Voters. NCRCC members will not lose their membership for the reason of moving from one residence to another within the County. The Chair or designee will adjust the membership lists to reflect the current precinct organization and ensure that vacancies on the NCRCC are determined using the latest precinct boundaries and official registration affidavits and statistics.
Section 3 Honorary Members
A. Shall include, but not limited to the following individuals in good standing with the NCRCC, unless they are duly elected members of the NCRCC:
1. The immediate Past County Chairperson of the NCRCC; 2. Current Presidents of County and State Republican Women’s Clubs; 3. Current President of Nationally-recognized Republican auxiliary groups such as Hispanic Republicans, Black Republicans, Young Republicans, and TeenAged Republicans (TARS); 4. Republican State Legislators representing Nye County, Nevada in the State Legislature; 5. Republicans elected to county offices; 6. Officers of the Republican State Central Committee residing in Nye County, Nevada; 7. Members of the Republican National Committee residing in Nye County, Nevada. 8. Non-Voting age high school political science students.
B. Have no vote, may not make motions, and shall not be counted in the quorum. C. Shall receive written notification of, and be encouraged to attend and participate in all meetings.
Section 4 Addresses and Sign-in Requirements
A. Members are required to keep the NCRCC office advised of their current mailing addresses. If correspondence mailed to a member is returned by the U.S. Post Office because it could not be delivered, no mail, including meeting notices, will be sent to that member until his/her address is corrected. B. Members may elect to have the NCRCC correspondence sent to them through the Internet to their e-mail addresses. If e-mail is returned or otherwise rejected using the internet, no additional e-mail, including meeting notices, will be sent to that member until the e-mail address is corrected. C. Members shall sign the attendance record for each meeting they attend.
Section 5. Representatives to the Nevada State Central Committee
A. Pursuant to the Nevada Revised Statutes, and the Bylaws of the Nevada Republican State Central Committee, the NCRCC shall elect, by ballot, those additional representatives to the Nevada State Republican Central Committee to which Nye County is entitled not later than the first regular meeting of the NCRCC following the County Convention B. Elections to fill vacancies in any position of representatives from Nye County to the Nevada State Republican Central Committee may be held at any meeting where the election to fill such vacancies is identified on the call for that meeting of the NCRCC. Elections to fill vacancies shall be conducted as Parliamentary Special Orders before all other items of business except the invocation, Pledge of Allegiance and elections to fill vacancies in positions of NCRCC Officers and the Executive Board.
Section 6. Financial Considerations
A. NCRCC General Fund. The NCRCC must establish a General Fund Checking Account with a bank located in Nye County B. Ancillary Accounts. From time to time it may be desirable to establish additional NCRCC checking or savings accounts for specific NCRCC purposes. These ancillary accounts may only be established with the approval of the Executive Committee. C. Authorized Signatures. Withdrawals by check, or withdrawals slips from any NCRCC Bank Account for amounts of $400 or more must be signed by two (2) of the following elected officers: Chairman, Vice-Chair, Treasured or secretary. Checks for less than $400 may be signed by only one of these authorized Offices. The Treasurer shall be bonded. D. Candidates requesting financial support from NCRCC must fill out a County and State Platform Questionnaire prior to being considered for receiving donations. Specific rules to implement this may be adopted by the Executive Committee. E. Reimbursements can only be made with prior approval of the Executive committee and submission of proper receipts and documentation is submitted to the Treasurer. ARTICLE IV: OFFICERS
Section 1 Election, Term of Office, Resignation and Replacement
A. The officers of the NCRCC shall be the Chairperson, First Vice-Chairperson, Second Vice-Chairperson, Recording Secretary and Treasurer. A Corresponding Secretary may be appointed by the Chairperson. B. Officers shall be elected by the NCRCC from its membership in April of each odd-numbered year during a regular meeting of the NCRCC. C. Officers shall serve for a period of two (2) years, extending from the date of election until their successors are duly elected. Officers are eligible for re-election to their position. D. Vacancies in an elected office shall be filled by special election by the NCRCC at a regular meeting. E. Officers and committees have general charge of the affairs of the Republican Party in Nye County, Nevada and have the powers usually exercised by such officers and committees, subject to the Election Laws of the State of Nevada, and the By-Laws of the Republican State Central Committee. F. In addition to the aforementioned Officers, the NCRCC may elect Representatives to the State Central Committee, in addition to the County Chairperson and First Vice-Chairperson, who will serve two (2) year terms, the number of Representatives elected on the basis of one (1) additional representative for each 2,000 or major fraction thereof, registered Republicans in Nye County, Nevada as of the first Monday in January in each year which a state convention is held. G. No elected officer shall hold any paid staff position with a political campaign or serve as an employee of the State Central Committee or State Executive Board.
Section 2 Duties of the Officers shall be:
A. Chairperson
1. To preside at all meetings of the NCRCC and its Executive meetings; 2. To call to order the Nye County Republican Convention for the purpose of electing a temporary Chairperson for the convention 3. To appoint the Chairpersons of Standing Committees and such special committees as may be needed and have general supervision of such officers and committees; and 4. To represent the NCRCC on the State Republican Central Committee, at other functions and in any other capacity as may be required by virtue of said Chairperson’s position. 5. To finalize and cause to be delivered all correspondence complying with Article II(2)F.
B. First Vice-Chairperson (Shall be from a different community of the County as that of the Chairperson
1. To assume the duties of the Chairperson in the absence of the Chairperson; 2. To serve as Acting Chairperson if that office becomes vacant, until the next regularly scheduled Central Committee meeting, at which time an election shall be held or a date set for an election; 3. To be responsible, within their geographic area, for precinct organization and coordination, seeing that all precincts are represented on the NCRCC, keeping a list of candidates to fill precinct vacancies, and directing precinct chairpersons and workers in canvassing voters, registering Republicans, and in getting out the vote. 4. To assist with organized Republican activities; and 5. To represent Nye County, Nevada Republicans, along with the Chairperson, on the State Central Committee.
C. Second Vice-Chairperson (Shall be from the same end of the County as that of the Chairperson, but not necessarily the same community)
1. To assume the duties of the First Vice-Chairperson in the absence of the First Vice-Chairperson; 2. To serve as Acting First Vice-Chairperson if that office becomes vacant, until the next regularly scheduled Central Committee meeting, at which time an election shall be held or a date set for an election; 3. To be responsible, within their geographic area, for precinct organization and coordination, seeing that all precincts are represented on the NCRCC, keeping a list of candidates to fill precinct vacancies, and directing precinct chairmen and workers in canvassing voters, registering Republicans, and in getting out the vote; and 4. To assist with organized Republican activities.
D. Recording Secretary
1. To keep accurate minutes of all meetings; 2. To keep a current record of names, addresses, "E" mail addresses, and phone numbers of NCRCC members, by precinct; 3. To mail notices of meeting to all members and honorary members of the NCRCC, unless responsibility is assigned to a corresponding secretary; 4. To be the custodian of all records of the NCRCC and its Committees; 5. To take roll at each NCRCC meeting for the purpose of establishing that a quorum is present to conduct business and to maintain a record of attendance. 6. To provide each new member with a copy of the By-Laws of this organization and of the State Party (in order to comply with Article IV(1)(e) , and 7. To perform other duties as assigned.
E. Treasurer
1. To receive and be custodian of all monies and financial records of this organization, and to keep accurate records of all monies received and disbursed; 2. To disburse monies owed only upon proper authorization from the NCRCC or the Executive Committee. All Checks must have the signature of at least two (2) of the following:
a. Chairperson b. First Vice-Chairperson c. Second Vice-Chairperson d. Recording Secretary e. Treasurer
3. To maintain accounts in approved banks or institutions for temporary holding and for safekeeping as approved by the NCRCC; and 4. To report at each NCRCC meeting and make a full and complete report at the County Convention
Section 3. Other Items
A. The officers shall perform the duties presented by these bylaws and the current “Robert’s Rules of Order”, the Parliamentary authority adopted by the NCRCC. B. Elected Officers are subject to recall by two-thirds (2/3) vote of the members present at a regular meeting of the NCRCC. Officers are also subject to recall by a two-thirds (2/3) majority of the members present at a special meeting of the NCRCC with five (5) days notice having been given. C. If employees are hired, the majority of the elected officers of the NCRCC may hire or discharge paid employees of the NCRCC. D. The Chair, at its discretion, may appoint officers to assist in the operations of the NCRCC. Said duties of appointed officers shall be as directed and/or approved by the Chair. ARTICLE V: MEETINGS
Section 1 Central Committee – Regular Meetings
A. Regular meetings of the NCRCC shall be held quarterly each calendar year. All meetings of the NCRCC shall be held in Nye County, Nevada. B. All members of the NCRCC shall be provided from the Secretary notice for all regular meetings at least five (5) days prior to the date set for such meetings. C. Meetings of the NCRCC can either be open to non-members of the committee (who by general consent may be granted the courtesy of speaking) or conducted in executive session at the discretion of the Chairperson or other presiding Officer, provided however, if the majority of members of the NCRCC present so desire, the Chairperson shall declare the meeting to be in executive session. D. Each member and officer, present, shall have voice and one (1) vote. E. Members present of the duly designated voting members of the NCRCC shall constitute a quorum for the transaction of business.
Section 2 Central Committee – Special Meetings
A. Special meetings of the NCRCC shall be at the call of the Chairperson, or upon written request of Forty (40%) percent of the NCRCC membership, delivered to the Secretary. B. All members of the NCRCC shall receive from the Secretary written notice of the call for a special meeting at least ten (10) days prior to the date set for such meeting. C. The notice of the call for a special meeting at which amendments to the By-Laws will be considered shall be not less than fourteen (14) days. D. All Special Meetings must be held within Nye County, Nevada.
Section 3 Precinct Meetings
A. Precinct meeting for all registered Republican voters in Nye County, Nevada shall be the responsibility of the NCRCC, which shall make the call at least thirty (30) days prior to the County Convention, held every two (2) years, in the year of a general election. B. All registered Republican voters residing within that precinct may attend and participate. C. The purpose of the precinct meetings is to elect delegates to the County Convention and make recommendations for the county platform. D. Notice of precinct meetings must be given in compliance with the Election Law of the State of Nevada. E. A credential committee shall be assigned by the Chairperson at the regular meeting prior to the precinct meeting in order to verify membership eligibility at the precinct meeting.
Section 4 County Convention
A. The County Convention for all registered Republican voters in Nye County, Nevada shall be called at a time and date set by the NCRCC to be held each year in which a State Convention is held by the Republican State Central Committee, within time parameters set by Nevada Election Laws. B. Any registered Republican residing in Nye County, Nevada may attend this County convention, however, and only delegates duly elected at their precinct meeting are eligible to vote. C. The purpose of the County Convention is to elect delegates to the Republican State Convention, to adopt a county platform and elect a County Central Committee. D. Notice of the County Convention must be given in compliance with the Elections Laws of the State of Nevada. ARTICLE VI: EXECUTIVE COMMITTEE
Section 1 Members
A. Members of the Executive Committee shall consist of incumbent officers of the NCRCC, or any additional representatives elected to serve on the State Republican Central Committee. B. Other representatives from the NCRCC elected from geographical areas, or at-large as determined by the NCRCC. C. Chairperson of Standing Committees. D. Members with voice, but no vote not to be counted in a quorum UNLESS they are elected members of the NCRCC, including the immediate Past County Chairperson, and others in good standing as desired by the Chairperson.
Section 2 Purpose
A. To be the governing body of the organization between NCRCC meetings and conventions. B. To transact any necessary business on behalf of the NCRCC between meetings of the Committee. C. To make recommendations as to policies of the organizations and to advise the Chairperson. D. To generate correspondence to comply with Article II(2)(f).
Section 3 Meetings
A. Regular meetings of the Executive Committee shall be held at the call of the Chairperson. B. Special meetings of the Executive Committee may be called by the Chairperson upon at least forty-eight (48) hours notice to each member, or by three (3) members of the Executive Committee giving notice to the Chairperson who shall then call the meeting within three (3) days. C. Meetings may be deemed official when performed by means of teleconference, videoconference, Internet message conferencing, in-person, or any combination of means as agreed upon by 3/5 of the Executive Committee. If no agreement can be made as to a special means of meeting, then an in-person meeting shall be mandated and location specified by the Chairperson.
Section 4 Membership Vacancies
A. A vacancy in an elective office shall be filled by the NCRCC. Notice of the election shall be determined by the NCRCC Chairperson. B. A vacancy of any appointed member shall be filled by the Chairperson. ARTICLE VII: COMMITTEES
Section 1 Standing Committees
A. Standing Committees such as Publicity, Finance, Candidate Recruitment, Legislative Action, State Rural Caucus, etc. shall be determined by the NCRCC Chairperson.
Section 2 Special Committees
A. Special Committees may be appointed by the County Chairperson as needed, duration of service may be terminated by the Chairperson or Acting Chairperson at any time and shall not exceed the term of the appointing Chairperson. ARTICLE VIII: PARLIAMENTARY AUTHORITY
Section 1 Rules of Procedure
A. The latest edition of Robert’s Rules of Order shall govern all proceedings except when inconsistent with these By-Laws B. Nothing in these By-Laws shall be interpreted in a manner contrary to the provisions of the Elections Laws contained in Nevada Revised Statutes or the By-Laws of the Nevada Republican Central Committee. Section 2 Procedure
A. These By-Laws may be amended at the NCRCC Convention by a majority of the Delegates. B. These By-Laws may be amended by a Two-Thirds (2/3) vote at any NCRCC meeting, provided that the amendment has been included in the call of that meeting with ten (10) days written notice. C. If time does not permit an amendment to be presented at one meeting of the NCRCC and voted on at the next, then the proposed amendment must be set forth, in full, in a written notice to each member, at least fourteen (14) days prior to the meeting when it will be voted on. D. Any amendment to these By-Laws made to the NCRCC shall be presented to the next Nye County Republican Convention for ratification. Such amendment shall be in full force and effect from the time made, until either ratified or declined by the Nye County Convention. ARTICLE IX: APPLICABLE LAW & RESERVATION OF RIGHTS
Section 1 Applicable Law. No officer, agent or member of the NCRCC is authorized to take any action in violation of any federal or state election las in the conduct of NCRCC business, ballot security, voter challenge, or get-out-the-vote activity. Any action taken in violation of this provision shall be cause for recall or removal pursuant to these Bylaws.
Section 2. The NCRCC reserves all rights to manage its internal affairs as stated by the United States Supreme Court in 489 U.W. 214, 109 S.Ct. 1013 (1989)
Section 3. These bylaws are governed by NRS Statutes, Specifically Title 24, Chapters 293, 293B, 293C, 294A, 295, 298, 304 and 306.
Section 4 The NCRCC supports and follows the rules and regulations as set forth by the Nevada Republican Central Committee and the National Republican Party.
